1. Acceptance of Terms

By downloading, installing, or using the Ace Calc application (“App”) on any device (including iOS and Android), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the App. Your use of the App after any change to these Terms constitutes acceptance of the updated Terms.

2. Description of Service

Ace Calc is a calculator application that provides basic and scientific calculation features, optional voice input, calculation and variable history, optional cloud sync when you are signed in, and optional subscription-based features. The App is offered by 4636 Digital LLC (“we,” “us,” or “our”).

3. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction to consent to terms) to use the App. By using the App, you represent that you meet this requirement and have the authority to bind yourself (or the entity you represent) to these Terms.

4. Account Registration and Security

Some features require an account. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.

5. Subscriptions and In-App Purchases

Generally. The App may offer subscription or other in-app purchases. Payment is processed by the platform from which you downloaded the App (Apple App Store or Google Play).

Apple (iOS). If you subscribe or make in-app purchases on an Apple device, payment is charged to your Apple ID. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your device’s App Store subscription settings. Refunds are subject to Apple’s policies; we cannot issue refunds for Apple purchases.

Google (Android). If you subscribe or make in-app purchases on an Android device, payment is processed by Google. Subscriptions renew automatically unless cancelled. You can manage and cancel subscriptions in the Google Play subscription settings. Refunds are subject to Google’s policies; we cannot issue refunds for Google Play purchases.

Pricing and availability may vary by region and platform. We may change subscription terms (e.g., price) with notice; continued use after the change constitutes acceptance.

Free trials. If we offer a free trial, you may be charged when the trial ends unless you cancel before the trial period ends, in accordance with the applicable store’s rules.

6. Third-Party Beneficiary (Apple)

To the extent these Terms govern your use of subscriptions or other in-app purchases made via the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple has the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary. This does not limit any other rights Apple has under its agreements with you or with us.

7. User Conduct and Content

You agree not to use the App to:

• Violate any law or the rights of others.
• Transmit harmful, offensive, or inappropriate content.
• Attempt to gain unauthorized access to the App, our systems, or other users’ accounts.
• Reverse engineer, decompile, or extract the App’s source code (except as permitted by law).
• Use the App for any commercial purpose or resale unless we expressly allow it.

You are responsible for any content (e.g., calculations, variable names, feedback) you submit. We may remove content or suspend or terminate accounts that violate these Terms or that we reasonably consider harmful.

8. Intellectual Property

The App, including its design, text, graphics, and software, is owned by us or our licensors and is protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal use in accordance with these Terms. You do not acquire any ownership rights in the App.

9. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App, you consent to the practices described in the Privacy Policy. The App uses microphone and speech recognition for voice input; we process such data as described in our Privacy Policy and in the permission prompts shown on your device.

10. Third-Party Services

The App uses third-party services (e.g., for authentication, data storage, analytics, and payment processing). Their use of your data is governed by their respective terms and privacy policies. We are not responsible for the practices of these third parties.

11. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. CALCULATION RESULTS AND OTHER OUTPUT ARE FOR INFORMATIONAL USE ONLY; WE ARE NOT LIABLE FOR DECISIONS MADE BASED ON SUCH RESULTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE (AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100 USD. Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the maximum permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Termination

We may suspend or terminate your access to the App or your account at any time, with or without cause or notice. You may stop using the App at any time. Upon termination, your right to use the App ceases. Provisions that by their nature should survive (including Sections 8–14 and this sentence) will survive termination.

15. Changes to the Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App or by other reasonable means. Your continued use of the App after the effective date of the changes constitutes acceptance. If you do not agree, you must stop using the App.

16. General

Governing law. These Terms are governed by the laws of the United States, without regard to conflict of law principles.

Disputes. Any dispute arising out of or relating to these Terms or the App shall be resolved in the courts of the applicable jurisdiction, and you consent to personal jurisdiction there. You may also report issues to Apple via https://www.apple.com/legal/internet-services/itunes/.

Entire agreement. These Terms, together with the Privacy Policy and any in-app purchase or subscription terms presented at the time of purchase, constitute the entire agreement between you and us regarding the App.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce any right does not waive that right.

17. Platform-Specific Terms

Google Play. Your use of the App when downloaded from Google Play is also subject to the Google Play Terms of Service and the Google Play Business and Program Policies, where applicable.

Apple App Store. Your use of the App when downloaded from the Apple App Store is also subject to the Apple Media Services Terms and Conditions and the Licensed Application End User License Agreement, where applicable.
